Copyright and Trademarks

The client guarantees that any text, graphics, photos, videos, designs, trademarks, or other artwork provided to Cayman Roe Website Design for their web design project are owned by the client or have the appropriate permissions for use. The client agrees to indemnify and hold harmless Cayman Roe Website Design and its subcontractors from any legal claims or disputes arising from the use of such elements provided by the client.

When Cayman Roe Website Design supplies stock images, the client must ensure that Cayman Roe Website Design has secured the proper licenses for these images. The client should also note that, occasionally, unlicensed images might be used temporarily for demonstration purposes if suitable licensed images are not available.

The client is responsible for replacing any unlicensed demonstration images before the website goes live. It is always the client’s responsibility to ensure that all text, graphics, photos, videos, designs, trademarks, and other artwork on the website are properly licensed or have permission from the rightful owner. Cayman Roe Website Design is not liable for any issues arising from the use of such materials.

Project Delivery

A web design project is considered delivered upon receipt of the final payment. Delivery can occur through publishing or electronic transfer. The client takes full responsibility for the usage and performance of the web design project. Should the client cause delays, Cayman Roe Website Design reserves the right to charge for additional costs incurred.

Web Design Project Copyright

Content specifically requested by the client and created as a work-for-hire will become the intellectual property of the client once all payments, including any additional charges, are made.

Rights to stock photography, photos, graphics, source code, work-up files, and software that are not specifically requested and created as work-for-hire remain the property of their respective owners.

Cayman Roe Website Design and its subcontractors retain the right to display graphics and other web design elements as part of their portfolios and include a simple credit in the website footer linking back to CaymanRoe.ie.

Pricing

All prices and discounts are indicative and subject to change without notice. Please confirm current pricing with Cayman Roe Website Design.

Payments

Payments should be made promptly according to the agreed schedule. Cayman Roe Website Design reserves the right to remove the web design project from the internet until final payment is received. If a scheduled payment is missed, the project or website may be put on hold, potentially incurring a restart fee. Payments overdue by more than 30 days may result in the suspension of all services, including support, maintenance, marketing, hosting, and domains.

In the event of overdue payments, we will notify the client by phone or email. Late or overdue payments will incur a fee, and if a collection agency is needed, all associated costs will be passed on to the client. The client agrees to cover all fees incurred if debt collection is necessary.

Please make payments on time. All payments should be in Euros unless otherwise agreed in writing. Cayman Roe Website Design reserves the right to charge for out-of-scope work or work that exceeds expected time. Only one master round of revisions is included unless stated otherwise, with additional revisions charged at a fixed rate.

Completion Date

Both Cayman Roe Website Design and the client need to work together to complete the web design project on time. The project starts once the client provides all necessary materials, after which Cayman Roe Website Design will notify the client of the start dates.

To ensure the project stays on schedule, Cayman Roe Website Design expects feedback within 24 hours and that the client is available for meetings and discussions. Revisions should be reasonable within the given timeframe, for example, one round of revisions for the homepage, content, and structure.

Cayman Roe Website Design uses past project experiences to estimate delivery times. Occasionally, underestimations occur, resulting in missed deadlines. The client agrees to indemnify Cayman Roe Website Design from any claims arising from missed deadlines. All deadlines, deliverables, and timeframes are estimates.

Legal Notice

Cayman Roe Website Design does not guarantee uninterrupted or error-free functionality of the web design project. The client assumes all risks regarding the quality and performance of the project. Cayman Roe Website Design is not liable for any damages, including but not limited to service interruptions caused by Acts of God, lost profits, lost savings, or other incidental, consequential, or special damages arising from the operation or inability to operate the web design project, even if advised of such possibilities.

The client is responsible for complying with all applicable laws, taxes, and tariffs and agrees to indemnify Cayman Roe Website Design and its subcontractors from any legal claims, penalties, or tariffs arising from the client’s use of electronic commerce nationally and internationally. Cayman Roe Website Design is not responsible for data loss due to unauthorized access but will assist in mitigating damage caused by such events.

This Agreement

This agreement constitutes the entire agreement between Cayman Roe Website Design and the client regarding the web design project. Any additional work not specified must be authorized in writing. Prices in this contract are valid for one month from the date offered. Agreement acceptance after this period will require a pricing review and a new agreement. This agreement supersedes any prior written or oral agreements.
